Annual General Meeting minutes for private limited companies — covers accounts adoption, director re-election, and auditor appointment.

When to use this template

Required for every Pte Ltd that holds an AGM. Private companies that have dispensed with AGMs (most do) instead pass written resolutions — see the Board Resolution template. Hold an AGM within 6 months of FYE.

How to fill it in

  1. Insert your company's name, UEN, and registered address.
  2. Update the date, time, and venue (or note 'held electronically' if virtual).
  3. List directors and shareholders present, by name. Note proxies if any.
  4. Reference the financial year covered and the audited accounts (or unaudited compilation report for small companies).
  5. Each resolution should clearly state the motion, mover, seconder (if applicable), and outcome.
  6. Chairman signs the minutes within a reasonable time after the meeting.

Frequently asked questions

Do private companies still need AGMs?

Not necessarily. Since the 2017 Companies Act amendments, private companies can dispense with AGMs if they file financial statements within 5 months of FYE and members do not request one. Most Pte Ltds skip the formal meeting and use written resolutions instead.

When must minutes be signed?

Section 188 of the Companies Act requires minutes to be entered into a minute book within one month of the meeting. The chairman of the next meeting confirms them as a true record.

Are AGM minutes filed with ACRA?

No. They are kept in the company's statutory records. ACRA receives the Annual Return separately via BizFile+, which is filed within 7 months of FYE.
