Annual Return (AR)

An ACRA filing that confirms a company's officers, shareholders, share capital, and registered address.

Definition

The Annual Return is a mandatory ACRA filing that every Singapore company must lodge each year. It is a statutory snapshot of the company - directors, shareholders, share capital, registered address, and financial statement particulars. The deadline is 7 months after the FYE for private companies and 5 months for listed companies. Late filing attracts ACRA late lodgement fees of S$300+ and can lead to director disqualification under repeat offence rules.

Example

If your FYE is 31 December 2026, your annual return must be filed with ACRA by 31 July 2027. Missing the deadline triggers an automatic S$300 late lodgement fee and a composition fine.
