A Singapore-resident individual appointed to satisfy the local director requirement, without operational involvement.

Definition

A Singapore Pte Ltd must have at least one director who is ordinarily resident in Singapore. When the founders are foreign, a Nominee Director (also called a Resident Director) is appointed to meet this requirement. The nominee acts as a director under the Companies Act with full statutory duties but typically does not operate or sign for the business beyond compliance matters. Nominee directors are usually provided by Corporate Service Providers (CSPs) and require KYC, indemnification, and a service agreement.

A foreign founder incorporating a Singapore Pte Ltd appoints Karman as nominee director to meet the resident director requirement, while the founder retains full beneficial ownership and operational control.
