The corporate secretary is a statutory officer responsible for maintaining the company's registers, preparing AGM and director resolutions, lodging ACRA filings (annual return, change of officer particulars, share allotments), and ensuring the company complies with the Companies Act. The role can be outsourced to an ACRA-Registered Filing Agent.
